CERTIFICATE OF AMENDMENT
TO THE CERTIFICATE OF INCORPORATION
OF
Imperial Dominion Bank of Commerce Corporation.
Pursuant to the provisions of Act of Parliament A.P.020 | Legal Entity Act, Imperial Dominion Bank of Commerce Corporation. (hereinafter referred to as the "Corporation"), a corporation organized and existing under and by virtue of the Laws of the Kingdom of Alexandria, does hereby certify:
FIRST: The name of the Corporation is Imperial Dominion Bank of Commerce Corporation.
SECOND: The Board of Directors of the Corporation duly adopted a resolution on the 19th day of May, 2025, setting forth a proposed amendment to the Certificate of Incorporation of the Corporation, declaring said amendment to be advisable and recommending that the stockholders of the Corporation approve said amendment. The resolution setting forth the proposed amendment is as follows:
RESOLVED, that Article IV of the Certificate of Incorporation of the Corporation be amended to read in its entirety as follows:
"ARTICLE IV: AUTHORIZED SHARES AND CLASSES
The total number of shares of stock which the Corporation shall have authority to issue is **1,000**,
consisting of one class designated as follows:
Class of Stock: Common Stock
Number of Authorized Shares of Common Stock: **1,000**
Par Value: $1 per share
All shares of Common Stock shall have identical rights, powers, preferences, and privileges.
Each share of Common Stock shall entitle the holder thereof to one vote on all matters
submitted to a vote of the stockholders."
THIRD: Thereafter, pursuant to Section 7 of Article II of the Bylaws of the Corporation and Article XIII of the Certificate of Incorporation, the aforesaid amendment was duly approved by the written consent of the holders of outstanding stock of the Corporation having not less than two-thirds (2/3) of the voting power of all outstanding shares of Common Stock entitled to vote thereon, such written consents being effective as of the 19th day of May, 2025.
FOURTH: This Certificate of Amendment to the Certificate of Incorporation shall be effective upon filing with the Ministry of Trade and Finance.
IN WITNESS WHEREOF, Imperial Dominion Bank of Commerce Corporation. has caused this Certificate of Amendment to be signed by its duly authorized officer this 19th day of May, 2025.
