Dear PhillinDeBlanc,

During our statutory review under §7 Legal Entity Act, we identified the following issue(s) with your Certificate of Incorporation filing:

  • Conflicting Entity Type: The document is titled a "Certificate of Incorporation" (for a Corporation), but the proposed entity name "Labour Startup Grants Office LLC NPO" contains "LLC" (for a Limited Liability Company). An entity cannot be both. Please amend the filing to be consistent: If you intend to form a Corporation, the name must be changed to include "Corp.", "Inc.", or "Incorporated". If you intend to form an LLC, you must refile using a "Certificate of Formation" and include the required Operating Agreement.
The 5-day review timer is paused. Please file a corrected Certificate or supplementary addendum within 72 hours to cure these deficiencies.

Regards,
MoTF Secretary – Ministry of Trade & Finance
