At this time, I must inform you that we must
DENY the business registration for Lux Group, LLC. This is due to several egregious issues with the filling that cannot be rectified by simple revision, including, but not limited to:
-The Certificate of Formation has placeholders such as [Date], [Address], [Amount/Description], [City, State] and [State] that have not been filled out.
-The Certificate of Formation is not properly dated or signed. There is also a second certifcate submitted that is blank.
-There is no differentiation from the Certificate of Formation and Operating Agreement and both appear to be combined haphazardly. There must be clear delineation between where the Certificate of Formation ends and where the Operating Agreement begins, either as separate documents or included. The Operating agreement must be incorporated or referenced clearly and it is not.
-The type of LLC that it is [Member-based or Interest-based] is not clear, although it appears to be interest-based it must be clearly stated.
-The document appears to attempt to waive Fiduciary duty by indemnifying the owner and company officers. This includes the company forwarding legal fees to the owner for court costs for possibly violating Fiduciary duty, and the original managing owner always maintaining 100% voting control even if they no longer own a majority of the company or 100% of the company.
-The mention of "Disregarded Entity" for tax purposes, which does not exist in Alexandrian law.
-The Certificate of Formation appears to have been partially or fully generated using AI of some sort, including "KEY PROVISIONS SUMMARY FOR SrICEKING" and "Next Steps" that seem to be from an AI-system suggesting real world filing of an LLC and business.
I would recommend that you consult and review the
Legal Entity Act for the rules and provisions for properly registering a legal entity, and that if generative AI is utilized that you thoroughly check its work. If you have any other questions feel free to reach out to the MoTF for more information.
